These Terms of Service ("Terms") govern your access to and use of the website, SaaS platform, and services provided by Strategic Insight Consulting ("Company," "we," "us," or "our"). By accessing our website, registering for platform access, or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website, platform, or services.
1. Services & Platform Description
Strategic Insight Consulting provides healthcare revenue cycle consulting, operational automation systems, compliance and coding audits, data analytics, AI voice agent solutions, and subscription-based software-as-a-service (SaaS) tools for ambulatory surgery centers and healthcare organizations. Our platform is powered in part by third-party infrastructure including GoHighLevel and related automation and CRM tools.
The specific scope of consulting services will be defined in a separate Service Agreement or Statement of Work. Platform access is governed by the subscription terms described herein.
2. SaaS Platform Access
Access to the SIC platform and its associated tools is provided as a subscription-based software service. By subscribing, you are granted a limited, non-exclusive, non-transferable license to access and use the platform for your internal business purposes during your active subscription period.
• You are responsible for maintaining the security of your account login credentials
• You must not share account access with unauthorized users or third parties
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized access or security breach
• We reserve the right to suspend or terminate accounts that violate these Terms
3. Subscription & Billing Terms
Subscription Plans:
Platform access and managed services are billed on a recurring monthly basis as outlined in your Service Agreement or subscription confirmation. Subscription fees are charged at the beginning of each billing cycle.
Setup Fees:
Certain services require a one-time setup fee payable prior to onboarding and platform configuration. Setup fees cover account configuration, automation builds, AI voice agent setup, and initial strategy work.
Usage Fees:
Clients are responsible for their own platform usage fees charged directly by third-party providers (including GoHighLevel) based on usage volume such as calls, SMS messages, emails, and contacts. These fees are separate from SIC subscription and service fees and are billed directly by the platform provider.
Payment:
All fees are due as specified in your subscription confirmation or Service Agreement. We accept payment via the methods listed at checkout or in your agreement. Late payments may result in service suspension.
No Refund Policy:
All setup fees are non-refundable once onboarding has commenced. Monthly subscription fees are non-refundable for the current billing cycle. If you cancel your subscription, you will retain access through the end of your paid billing period and will not be charged for subsequent cycles.
Cancellation:
You may cancel your subscription at any time by providing written notice to [email protected] at least 7 days before your next billing date. Cancellation takes effect at the end of the current billing period. We reserve the right to cancel or suspend services for non-payment or violation of these Terms with reasonable notice.
Price Changes:
We reserve the right to modify subscription pricing with 30 days written notice. Continued use of the platform after the effective date of a price change constitutes acceptance of the new pricing.
4. Acceptable Use & Platform Rules
By accessing our platform and services, you agree to use them only for lawful business purposes. The following are strictly prohibited:
• Sending spam, unsolicited messages, or communications that violate applicable anti-spam laws (including CAN-SPAM and TCPA)
• Using the platform for any illegal purpose or in violation of any local, state, federal, or international law or regulation
• Uploading or transmitting malicious code, viruses, or harmful content
• Attempting to gain unauthorized access to any part of the platform, other accounts, or connected systems
• Abusing, harassing, or threatening SIC staff, contractors, or other users
• Reselling or sublicensing platform access without written authorization from SIC
• Using the platform to store or transmit protected health information (PHI) without an executed Business Associate Agreement (BAA) in place
• Reverse engineering, decompiling, or attempting to extract source code from any platform component
Violation of these rules may result in immediate account suspension or termination without refund.
5. Eligibility
You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of your organization to use our services or platform. By engaging with us, you represent and warrant that you meet these requirements.
6. Intellectual Property
All content on our website and platform — including the ARC Revenue Intelligence Framework, branded tools (AuditMapAI, ClaimPath Forecast, PayerDNA, CommandDeck), methodologies, workflows, automations, text, graphics, and materials — is the proprietary intellectual property of Strategic Insight Consulting. You may not copy, reproduce, distribute, reverse engineer, or create derivative works from our materials without our express written consent.
Custom automations, workflows, and configurations built for your account during a paid engagement remain the property of Strategic Insight Consulting unless explicitly transferred in writing.
7. Client Responsibilities
• Provide accurate and complete information necessary for the engagement and platform setup
• Ensure timely access to data, systems, and personnel as reasonably required
• Maintain compliance with all applicable laws in your use of the platform and services
• Obtain all necessary consents before using the platform to contact patients or leads
• Maintain confidentiality of any proprietary methodologies or tools shared during the engagement
8. HIPAA Compliance
To the extent our services involve access to or processing of protected health information (PHI), we will comply with applicable HIPAA requirements. A Business Associate Agreement (BAA) must be executed prior to any PHI access or processing through our platform. Clients are responsible for ensuring their own HIPAA compliance in their use of the platform.
9. Third-Party Platforms
Our services are delivered in part through third-party platforms including GoHighLevel and other technology providers. Your use of these platforms through our service is also subject to those providers' own terms of service and acceptable use policies. We are not liable for the performance, availability, or actions of third-party platforms.
10. Disclaimer of Warranties
Our services and platform are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of security vulnerabilities. We make no guarantees regarding specific revenue outcomes, denial recovery rates, or business results from use of our services.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Strategic Insight Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or platform. Our total aggregate liability for any claim shall not exceed the total fees paid by you in the three months immediately preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Strategic Insight Consulting and its principals, employees, contractors, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services or platform, your violation of these Terms, or your violation of any applicable law or third-party rights.
13. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and non-public information shared during the engagement. This obligation survives termination of services. Where applicable, a separate Non-Disclosure Agreement (NDA) may be executed.
14. Termination
Either party may terminate services or subscriptions in accordance with the cancellation terms in Section 3 or the applicable Service Agreement. We reserve the right to terminate accounts immediately for violations of these Terms, non-payment, or illegal use. Upon termination, platform access will be revoked at the end of the applicable billing period. Provisions related to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Disputes shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Albany County, New York under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
16. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via our website or direct notice to registered users at least 14 days before taking effect. Continued use of our platform or services after the effective date constitutes acceptance of the updated Terms.
